Terms and Conditions

1. Definitions

1.1. Service Provider means UAB Unive, legal entity code 307177522, incorporated in the Republic of Lithuania.

1.2. Customer means the individual or legal entity purchasing the Services. The Customer confirms that they are ordering the Service for themselves or for their children or dependents (hereinafter – Participant), and that the Participant agrees to receive the Service.

1.3. Participant means the individual who actually receives or uses the Services.

1.4. Services means all tools and content provided by the Service Provider via the Website or App, including but not limited to online college and scholarship browsing, interview simulation, and text editing tools, as well as any related digital materials.

1.5. Subscription means a recurring payment plan that grants time-limited access to the Services.

1.6. Contract means the agreement between the Customer and the Service Provider consisting of these Terms, the Privacy Policy, and the order details provided at checkout on the Website/App.

2. Our Services and Pricing

2.1. By using our Services—online college and scholarship browsing, interview simulation, and text editing tools—you gain access to them through the member area of our Website/App. These tools allow you to perfect your application strategy, practice for interviews, and edit, transform, or manipulate text in various ways, depending on the specific tool or feature used.

2.2. We offer different payment plans for our Services that may change from time to time. The currently applicable pricing and subscription terms will be made available to you on the checkout page of the Website/App. You may be offered access to our Services through a one-time membership fee and/or a Subscription-based service fee charged periodically.

2.3. All Services provided by the Service Provider are for educational purposes only. As all Services are delivered digitally, they are considered fully provided from the moment the digital content becomes available for your use, unless otherwise required by applicable law.

2.4. We reserve the right to revise fee charges, cancellation terms, and refund policies upon reasonable notice via the Website/App or other appropriate means. Changes apply to all Contracts (including Subscriptions) created or renewed after such changes are implemented.

2.5. All prices for our Services are inclusive of applicable taxes. However, final prices may vary depending on VAT rates and changes in your country of residence.

3. Subscriptions and Auto-Renewal

3.1. If you order a Subscription for accessing the Services, you will be billed monthly, every three months, annually, or at another frequency depending on the plan you select at the time of purchase. The Subscription fee will be withdrawn from the credit or debit card or other payment method you provide when placing your order on the Website/App.

3.2. When you first purchase a monthly Subscription, your payment method will be charged the then-current price for one month of access to the member area. When you first purchase an annual Subscription, your payment method will be charged the then-current price for one year of access.

3.3. Your Subscription will remain active until cancelled. This means your Subscription will automatically renew for successive periods of the same duration selected at the time of purchase, at the then-current non-promotional Subscription rate, unless you cancel before the end of the current Subscription period (the Renewal Date).

3.4. The Subscription fee will be charged using the payment method you provided when placing the order, unless you update your payment details or cancel your Subscription before the Renewal Date. If your payment method becomes invalid or cannot be charged, your Subscription may not renew, and access to the Services may be suspended or terminated.

3.5. If you:

  • (a) purchased a multiple-period prepayment plan; or
  • (b) were eligible for a promotional rate but are no longer eligible,

then, at the end of the prepaid or promotional period, your Subscription will be offered to renew at the then-current non-promotional Subscription rate. If you fail to renew before expiration, the then-current non-promotional rate will apply for any subsequent Subscription.

3.6. We reserve the right to change the price of Subscription plans at any time. If the price of your Subscription changes, we will notify you at least 14 days before the change takes effect. If you do not agree with the price change, you may cancel your Subscription before the new price takes effect. Continued use of the Services after the price change takes effect constitutes your acceptance of the new price.

3.7. By subscribing, you authorize the Service Provider and its payment processors to store an encrypted data file (token) related to your payment method and to use this token to initiate recurring payments for your Subscription in accordance with these Terms.

3.8. Cancellation of Subscription. You can cancel your Subscription at any time by contacting Customer Support at support@unive.ai. Your cancellation request will be processed within 72 hours. You may also cancel in the App (app.unive.ai) by clicking on "Settings" and then "Cancel Subscription", where cancellation will take effect immediately. We reserve the right to collect any fees or costs incurred before your cancellation becomes effective. If you cancel a paid Subscription, it will remain active until the end of your current billing period.

3.9. Deleting your account in the App does not cancel your Subscription. To terminate your Subscription, you must explicitly cancel it as described in Clause 3.8. Failure to cancel your Subscription in this manner will result in continued billing and access to Subscription Services until cancellation is successfully completed.

4. Customer Obligations and Intellectual Property

4.1. The Customer undertakes not to share any materials provided by the Service Provider with third parties or online. All such materials are the intellectual property of the Service Provider. Unauthorized sharing, reproduction, distribution, or other use of these materials may result in legal consequences under Lithuanian law and applicable international regulations.

4.2. All Service-related materials are confidential and must not be shared with any third parties without the prior written consent of the Service Provider. Any violation of this obligation entitles the Service Provider to terminate the Contract and request compensation for losses incurred, which the Customer must pay within 14 days of receiving the corresponding request, without prejudice to any other rights or remedies available to the Service Provider.

5. Data Protection

5.1. The Service Provider processes Customer and Participant data to fulfill the Contract and comply with legal obligations.

5.2. Personal data is handled as specified in the Service Provider's Privacy Policy, available on the Website.

5.3. Before entering into the Contract (for example, by clicking "I agree", completing purchase on the Website/App, or otherwise confirming acceptance), the Customer must read and understand the Privacy Policy. By entering into the Contract, the Customer confirms full comprehension of, and agreement to, the Privacy Policy on their own behalf and, where applicable, on behalf of the Participant.

6. Other Terms

6.1. The Service Provider is not responsible for the Participant's academic performance, admissions outcomes, scholarship results, or any other academic or professional results. The Services are intended to support and guide the Participant but do not guarantee any specific outcomes.

6.2. The Contract takes effect after the purchase of the Service (or activation of a Subscription) and remains valid for the duration of the Service or Subscription period, unless terminated earlier in accordance with these Terms.

6.3. The Parties shall first seek to resolve any disputes, disagreements, or claims arising out of or relating to the Contract through written communication or direct discussion. If the Parties fail to resolve the dispute amicably, the dispute shall be settled in accordance with the laws of the Republic of Lithuania.

6.4. Correspondence and documents related to the Service will be sent to the email addresses provided by each Party. Each Party is responsible for ensuring that their contact details are accurate and up to date.
